Agilent Acquisition of Proscia to Advance AI-Enabled Digital Pathology Workflows
Posted on 14 Oct 2026
Agilent Technologies Inc. has entered into a definitive agreement to acquire Proscia, a provider of digital pathology software for clinical and life-sciences customers. The all-cash transaction is valued at USD 240 million in cash at closing, with up to an additional USD 30 million based on future performance milestones. Proscia is described as an independent provider of enterprise digital pathology software and a central operating layer for digital pathology.
Proscia’s Concentriq platform brings intelligence to scientists, pathologists, and laboratory leaders involved in medicine-related decision-making. The digital pathology technology connects slide scanners, laboratory information systems, image-analysis applications, AI tools, people, and data so customers can manage images, data, and workflows in one unified environment. Proscia serves more than 4,000 laboratories, hospitals, and clinics, as well as 16 of the top 20 pharmaceutical companies, and reported trailing 12-month revenue exceeding USD 18 million.

Proscia’s vendor-agnostic digital pathology platform holds U.S. Food and Drug Administration (FDA) 510(k) clearance for primary diagnosis. The transaction builds on a multi-year distribution agreement between Agilent and Proscia signed in September 2022 to offer a comprehensive digital diagnostic-pathology system. The acquisition is subject to customary closing conditions and is expected to close early in Agilent’s fiscal year 2027, after which Proscia will become part of the Agilent Life Sciences and Diagnostics Markets Group.
“Digital pathology is quickly becoming the foundation for pathology data generation, analysis, and application across biopharmaceutical research, clinical development, and diagnostics, and our acquisition of Proscia meaningfully expands our presence in this fast-growing market,” said Agilent President and CEO Padraig McDonnell.
“The acquisition establishes an Agilent platform for scientific intelligence in tissue-based precision medicine, connecting data generation with AI-based interpretation in a workflow that supports biomarker research through routine clinical use. With Proscia’s leading platform and talented team, we will be better equipped to help laboratories and biopharma customers manage and derive insights from pathology data. We look forward to welcoming the Proscia team to Agilent and working together to accelerate adoption of AI-enabled pathology workflows to advance drug discovery and companion-diagnostics solutions and create long-term value for customers and shareholder,” said McDonnell.
