Agilent Technologies has completed its acquisition of Proscia, a provider of digital pathology software for clinical and life sciences applications. The transaction involved a cash payment of USD 240 million at closing, with up to an additional USD 30 million contingent on future performance milestones. Proscia will operate within Agilent’s Life Sciences and Diagnostics Markets Group.

The acquisition combines Agilent’s pathology instrumentation and reagents with Proscia’s vendor-agnostic digital pathology software platform. The integration is intended to support clinical diagnostics, biopharmaceutical research, and companion diagnostics development by connecting tissue-based testing technologies with digital image management, analysis, and artificial intelligence (AI) capabilities.

Proscia’s Concentriq platform enables laboratories to manage digital pathology images, data, and workflows within a unified environment. The software connects slide scanners, laboratory information systems, image analysis applications, and AI tools, allowing pathologists and researchers to access and interpret tissue-based data across different systems. The platform has received U.S. Food and Drug Administration (FDA) 510(k) clearance for primary diagnosis.

The combined technologies are expected to support AI-enabled pathology workflows by integrating digital tissue images with analytical tools and clinical information. This approach could help laboratories streamline diagnostic processes, improve access to pathology data, and support the adoption of AI-assisted image analysis in routine clinical practice.

Beyond clinical diagnostics, the acquisition expands Agilent’s capabilities in drug discovery and companion diagnostics development. Proscia’s software and growing repository of real-world pathology data are expected to support biomarker research, treatment development, and precision medicine applications. The company’s technology is used by 16 of the world’s 20 largest pharmaceutical companies.

“We’re pleased to complete our acquisition of Proscia, further strengthening Agilent’s pathology portfolio and establishing a platform for scientific intelligence,” said Padraig McDonnell, President and CEO of Agilent. He added that the combination is expected to support AI-enabled pathology workflows, drug discovery, and companion diagnostics across clinical and research settings.
